Terms of Service

Introduction

Welcome to TickHint, an algorithmic trading platform that enables users to create, test, backtest, and deploy trading strategies using C#. These Terms of Service ("Terms") govern your access to and use of www.tickhint.com and its related services, including live trading capabilities through third-party broker integrations (collectively, the "Service").

By accessing or using TickHint, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

Important: TickHint is a technology provider that provides software tools for algorithmic trading. We are not a broker, financial advisor, investment manager, exchange, or custodian. We do not provide investment advice or execute trades directly. All trading is conducted through third-party broker accounts that you connect to our platform.

Use of the Service

Account Registration

To use certain features of the Service, you may need to register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating an account and to update your information as necessary.

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

  • Use the Service in any way that violates applicable local, state, national, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use any automated means or interface not provided by us to access the Service or extract data
  • Attempt to bypass any security measures or rate limits implemented by us
  • Impersonate another person or entity or misrepresent your affiliation with a person or entity
  • Use the Service to develop strategies intended for market manipulation, insider trading, or other illegal activities
  • Share your account credentials or broker API keys with any third party
  • Use the Service to disrupt, damage, or impair the functionality of the Service or any connected brokers
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service

Live Trading Terms

TickHint enables you to deploy algorithmic trading strategies to live and paper trading through third-party broker integrations. Live trading involves significant risk of financial loss. Before using live trading features, you must understand and accept the following terms:

Broker Integrations

  • You may connect third-party broker accounts (e.g., Alpaca Markets) to deploy strategies for live or paper trading
  • Broker connections are secured using envelope encryption with master keys stored in Azure Key Vault
  • You are solely responsible for maintaining valid broker credentials and complying with your broker's terms of service
  • We transmit orders generated by your strategies to your broker via secure API connections (HTTPS/TLS 1.3)
  • We are not liable for broker service disruptions, API failures, execution delays, or rejected orders
  • You acknowledge that broker API quotas, rate limits, and connectivity issues may affect strategy performance
  • TickHint does not hold, custody, or have access to your funds - all funds remain with your broker

User Consent Requirements (MiFID II Compliance)

Before deploying any strategy to live or paper trading, you must explicitly consent to the following (consent expires after 24 hours):

  • You have reviewed the strategy code and understand its logic, order types, and risk parameters
  • You have backtested the strategy and analyzed its historical performance metrics
  • You have paper traded the strategy for a reasonable period (recommended minimum: 30 days)
  • You understand the risk of financial loss, including total loss of capital
  • You accept sole responsibility for all trading decisions - TickHint does not provide investment advice
  • You acknowledge that TickHint provides technology only, not financial advisory services
  • You understand you can pause or stop strategies anytime via the emergency stop button
  • You have read and agree to your broker's terms of service and our Risk Disclosure Statement

Your consent decisions are logged with timestamps, IP addresses, and policy versions for regulatory compliance (7-year retention per MiFID II Article 16).

Trading Session Management

  • You may pause or stop trading sessions at any time through the dashboard or emergency stop button
  • Emergency stop attempts to cancel all open orders and close positions, but we cannot guarantee instant execution
  • Trading sessions automatically stop if your subscription expires or you exceed subscription tier limits
  • Session logs (orders, positions, P&L, errors) are retained for 7 years for regulatory and debugging purposes
  • You are responsible for monitoring your strategies and ensuring they operate as intended
  • Network connectivity issues, server outages, or broker API failures may prevent timely order execution or cancellation

Subscription Tier Limits

  • Concurrent strategy limits are enforced per subscription tier (e.g., Starter: 1, Pro: 5, Enterprise: Unlimited)
  • Exceeding your tier's strategy limit will prevent new deployments until existing sessions are stopped
  • Downgrading your subscription tier will automatically stop excess trading sessions (oldest sessions stopped first)
  • Backtesting quotas, tick consumption limits, and API rate limits vary by subscription tier

Technical Risks and Disclaimers

You acknowledge and accept the following technical risks:

  • Strategy Malfunctions: Bugs, logic errors, or unexpected behavior in your strategy code may result in unintended orders or losses
  • Connectivity Issues: Internet outages, network latency, or firewall restrictions may prevent order execution or emergency stops
  • Server Outages: TickHint infrastructure failures (Azure downtime, database issues) may disrupt trading sessions
  • Broker API Failures: Third-party broker service disruptions, API rate limiting, or rejected orders are outside our control
  • Market Data Delays: Real-time market data may be delayed or inaccurate due to data provider issues or network latency
  • Execution Slippage: Orders may execute at prices different from expected due to market volatility or liquidity constraints
  • Emergency Stop Limitations: We provide emergency stop mechanisms but cannot guarantee instant execution during market volatility or broker outages

You are solely responsible for monitoring your strategies, managing risk, and ensuring your broker account has sufficient funds. TickHint provides real-time notifications and alerts, but you should not rely solely on these for risk management.

Trading Strategies and Intellectual Property

Your Content

As a TickHint user, you may create, upload, or develop trading strategies, code, backtests, and other content ("User Content"). You retain all rights, title, and ownership to your User Content, including full copyright and intellectual property rights.

Your trading strategies remain your proprietary information. We do not claim ownership of your strategies, and we do not use your strategies for our own trading activities or share them with third parties without your explicit consent.

Licenses Granted to TickHint

You grant TickHint a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and modify your User Content solely for the purpose of:

  • Providing and operating the Service (strategy execution, backtesting, storage)
  • Improving the Service (debugging, performance optimization, feature development)
  • Providing customer support and troubleshooting
  • Complying with legal obligations (regulatory audits, subpoenas)

This license exists only for as long as you choose to continue to use the Service and can be terminated by deleting your User Content or your account. Upon account deletion, we will delete your User Content within 30 days, except where longer retention is required by law (e.g., trading session logs).

Marketplace and Strategy Sharing (Future Feature)

If you choose to share your trading strategies through our marketplace feature (when available), you grant other users the right to use your strategies according to the specific license terms you select when publishing through our platform (e.g., free, subscription-based, one-time purchase).

Important: Strategies published to the marketplace will be subject to additional terms and revenue-sharing agreements. We will provide clear disclosure before you publish any strategy publicly.

TickHint Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of ALPITY LTD and its licensors. The Service is protected by copyright, trademark, patent, and other intellectual property laws.

Our trademarks, trade names, service marks, logos ("TickHint Marks") may not be used in connection with any product or service without the prior written consent of ALPITY LTD. You may not remove, alter, or obscure any proprietary notices on the Service.

Risk Disclaimer and Investment Advice

TickHint is a technology platform for developing and deploying trading strategies. We are NOT a financial advisor, broker, investment manager, or exchange. Any trading strategies developed, implemented, or shared through TickHint are executed at your own risk.

Algorithmic Trading Risks

Algorithmic trading involves significant risk of financial loss and is not suitable for all investors. You should be aware of the following risks:

  • Total Loss of Capital: You can lose your entire investment. Only trade with capital you can afford to lose
  • Past Performance Not Indicative: Backtesting results do NOT guarantee future performance. Historical data does not predict future market conditions
  • Market Volatility: Sudden price movements, flash crashes, or liquidity events can result in large losses
  • Leverage Risks: Margin trading amplifies both gains AND losses. You may lose more than your initial investment
  • Technical Failures: Software bugs, connectivity issues, or server outages may prevent order execution or emergency stops
  • Data Quality: Inaccurate or delayed market data may result in poor trading decisions
  • Execution Slippage: Orders may execute at worse prices than expected due to market conditions
  • Overfitting: Strategies optimized on historical data may fail in live trading due to changed market conditions

No Investment Advice

The information provided through the Service is for informational and educational purposes only and is NOT intended as investment advice, financial advice, trading advice, or any other sort of advice. You should not construe any information, strategies, or tools provided by TickHint as financial advice.

You are solely responsible for all trading decisions. Before implementing any trading strategy, you should:

  • Consider your investment objectives, level of experience, and risk appetite
  • Seek advice from an independent licensed financial advisor if you have any doubts
  • Understand the strategies you deploy and monitor them continuously
  • Start with paper trading before risking real capital
  • Never invest more than you can afford to lose

No Representations or Warranties

TickHint makes no representations or warranties about the accuracy, completeness, or reliability of:

  • Market data or price feeds provided through the Service
  • Backtesting results or performance metrics
  • Strategy code examples or sample strategies
  • Information provided in documentation, tutorials, or educational content
  • Results that may be obtained from using the Service or any strategies

Use of the Service is at your own risk. All information, content, and tools are provided "AS IS" without warranty of any kind.

Service Modifications and Availability

We reserve the right to modify or discontinue, temporarily or permanently, the Service or any features or portions thereof without prior notice. This includes but is not limited to:

  • Adding or removing features, indicators, or order types
  • Changing subscription plans, pricing, or tier limits
  • Discontinuing broker integrations or adding new brokers
  • Modifying API endpoints, data formats, or authentication methods
  • Upgrading infrastructure or performing maintenance

We will make reasonable efforts to provide advance notice of material changes that may affect live trading sessions. However, we will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

While we strive to provide a reliable service with 99.9% uptime, we do not guarantee that the Service will be available at all times. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet, cloud services, and electronic communications. We are not responsible for any delays, delivery failures, trading losses, or other damage resulting from such problems.

Subscription and Payment Terms

Certain features of the Service require a subscription or payment. By subscribing to our paid services, you agree to the following terms:

Billing and Payments

  • You authorize us to charge the payment method provided (credit card, PayPal, bank transfer) for the subscription plan you select
  • Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
  • Subscriptions automatically renew unless canceled prior to the renewal date
  • You can cancel your subscription at any time through your account settings or by contacting customer support
  • Cancellations take effect at the end of the current billing period - no prorated refunds for partial months
  • Failed payments may result in suspension of Service access until payment is resolved

Pricing Changes

We reserve the right to change our subscription fees upon reasonable notice (minimum 30 days). Price changes will not affect your current billing cycle. If you continue to use the Service after such changes, you accept the new charges.

Refund Policy

Refunds may be provided at our sole discretion on a case-by-case basis. Generally, subscription fees are non-refundable. However, we may provide refunds in the following circumstances:

  • Service outages exceeding 72 consecutive hours (prorated refund for downtime)
  • Billing errors or duplicate charges (full refund of erroneous charges)
  • Dissatisfaction within first 7 days of initial subscription (one-time refund, account closure required)

To request a refund, contact billing@tickhint.com with your account details and reason for the request.

Tick Consumption and Quotas

Some features (backtesting, live trading, market data access) consume "Ticks" - TickHint's native token. Tick balances and consumption rates vary by subscription tier. You are responsible for monitoring your tick balance and purchasing additional ticks if needed. Insufficient tick balance may prevent strategy execution or backtesting.

Limitation of Liability

IMPORTANT - PLEASE READ CAREFULLY:

To the maximum extent permitted by applicable law, in no event shall ALPITY LTD, its directors, officers, employees, partners, agents, suppliers, or affiliates be liable for any:

Excluded Damages

  • Trading Losses: Loss of profits, capital, or trading opportunities resulting from strategy execution, order failures, or market movements
  • Indirect Damages: Incidental, special, consequential, or punitive damages of any kind
  • Data Loss: Loss of data, use, goodwill, or other intangible losses
  • Service Interruptions: Damages from service unavailability, bugs, errors, or maintenance downtime
  • Third-Party Failures: Broker API outages, market data provider issues, cloud infrastructure failures
  • Execution Delays: Missed opportunities, slippage, or failed orders due to latency or connectivity issues
  • Security Breaches: Unauthorized access, use, or alteration of your transmissions, content, or broker credentials (unless due to our gross negligence)
  • Investment Decisions: Trading or investment decisions made based on information, strategies, tools, or backtesting results provided through the Service

Maximum Liability Cap

In no event shall our total liability to you for all claims, damages, or losses exceed the amount you have paid to TickHint for use of the Service during the past twelve (12) months, or €100 (whichever is greater).

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Essential Basis of the Bargain

You acknowledge that the fees charged for the Service reflect this allocation of risk and that we would not provide the Service without these limitations on liability. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless ALPITY LTD, its directors, officers, employees, partners, agents, suppliers, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your Use of the Service: Any use of the Service, including live trading, backtesting, or strategy deployment
  • Your Violations: Your violation of these Terms, applicable laws, regulations, or third-party rights
  • Your User Content: Any claims related to your trading strategies, code, or User Content
  • Trading Losses: Any trading losses, margin calls, or financial damages resulting from your strategy execution
  • Broker Claims: Any claims, disputes, or liabilities arising from your broker account or broker relationships
  • Regulatory Issues: Any regulatory investigations, fines, or penalties related to your trading activities
  • Market Manipulation: Any claims that your strategies engaged in market manipulation, wash trading, or other illegal activities
  • Unauthorized Access: Any use of the Service by third parties using your account credentials (unless due to our breach of security)

This indemnification obligation survives termination of these Terms and your use of the Service.

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Cyprus for any disputes arising from these Terms.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be finally settled by arbitration in Nicosia, Cyprus, using the English language in accordance with the arbitration rules of the Cyprus Arbitration and Mediation Centre.

The arbitral tribunal shall consist of one arbitrator appointed in accordance with the said rules. The award of the arbitrator shall be final and binding upon the parties.

Informal Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the dispute informally by contacting the other party at:

If we cannot resolve the dispute within 30 days of initial contact, either party may commence formal arbitration proceedings.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Termination

Termination by TickHint

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if:

  • You breach these Terms or violate applicable laws
  • You engage in suspicious trading activity, market manipulation, or fraudulent behavior
  • You fail to pay subscription fees or incur chargebacks
  • Your broker account is closed, suspended, or restricted
  • We receive a court order, subpoena, or regulatory request requiring account suspension
  • We determine, in our sole discretion, that your use of the Service poses a risk to other users, our infrastructure, or connected brokers

Upon termination for cause, all open trading sessions will be immediately stopped, pending orders canceled (best effort), and positions closed (if possible). However, we cannot guarantee instant execution or order cancellation during market volatility or broker outages.

Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Deleting your account via the profile settings page
  • Contacting customer support at support@tickhint.com

Upon termination, your right to use the Service will immediately cease. Your User Content will be deleted within 30 days, except where longer retention is required by law (trading session logs retained for 7 years per MiFID II).

Effect of Termination

Upon termination (by either party):

  • Your access to the Service, including all features and data, will be revoked
  • All active trading sessions will be stopped (we will attempt to cancel orders and close positions, but cannot guarantee execution)
  • You will be refunded any unused subscription fees (prorated for the remaining subscription period)
  • You will have 30 days to export your strategies, backtests, and trading session data before permanent deletion
  • Your broker connections will be severed, but your broker account remains active (you remain responsible for open positions)

Survival

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation:

  • Intellectual Property ownership provisions
  • Warranty disclaimers and limitations of liability
  • Indemnification obligations
  • Dispute resolution and governing law provisions
  • Payment obligations for services rendered prior to termination

Changes to the Terms

We reserve the right to modify or replace these Terms at any time. We will provide reasonable notice of any significant changes by:

  • Posting the new Terms on this page with an updated "Last Updated" date
  • Sending email notification to the address associated with your account
  • Displaying a prominent notice on the Service interface

Material changes will take effect 30 days after notification. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to any of these Terms or any future version of the Terms, you must discontinue using the Service.

For changes related to live trading terms, liability limitations, or payment terms, we will require explicit re-consent before you can deploy new trading sessions.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

Entire Agreement

These Terms, together with our Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and ALPITY LTD regarding our Service and supersede and replace any prior agreements, understandings, or representations we might have had between us regarding the Service.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
